These Terms of Use are entered into by and between you and SEO – Sponsors for Educational Opportunity, Inc. (“we” or “us” or “SEO”). These Terms of Use set forth the terms and conditions (collectively, “Terms”) that apply to your access and use of our website, located at https://www.seo-usa.org/ (“Site”), our branded pages on social media services, and our programs and services (collectively, the “Services”). These Terms incorporate by reference our Privacy Policy, available at https://www.seo-usa.org/seo-privacy-policy/, which relates to the collection and maintenance of personal data. We may at times ask you to review and accept supplemental terms that apply to your interaction with a specific product or service.

By using or accessing the Services, including our Site, you agree to these Terms, as updated from time to time in accordance with Section 8 below. If you do not want to agree to these Terms, you must not access or use the Services.

1. Acceptance

To use the Services you must (i) be at least eighteen (18) years of age, or, if you are under 18 years of age but are at least 13 years old, you must use the Services with the consent of your parent or legal guardian; (ii) have not previously been suspended or removed from the Services; and (iii) use the Services in compliance with any and all applicable laws and regulations.

2. Account Registration

To access some features of our Site, or to access certain Services, you may be required to register for an account. When you register for an account, we may ask you to give us certain identifying information about yourself, including your email address and other contact information, and to create a user name and password (“Registration Information”). When registering for and maintaining an account, you agree to provide true, accurate, and current information about yourself. You also agree not to impersonate anyone, misrepresent any affiliation with anyone, use false information, or otherwise conceal your identity from us for any purpose.

You are solely responsible for maintaining the confidentiality and security of your password and other Registration Information. For your protection and the protection of other users, we ask you not to share your Registration Information with anyone else. If you do share this information with anyone, we will consider their activities to have been authorized by you. If you have reason to believe that your account is no longer secure, you must immediately notify us at info@seo-usa.org.

As further described in Section 12, we have the right to disable any account, user name, password, or other identifier, whether chosen by you or provided by us, at any time, in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

3. Prohibited Conduct

You agree not to:

  • (a) Use the Site or our Services for any illegal purpose, or in violation of any local, state, national, or international law;

  • (b) Violate or encourage others to violate our rights or the rights of third parties, including intellectual property rights;

  • (c) Upload to the Site any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate;

  • (d) Interfere in any way with security-related features of the Site;

  • (e) Interfere with the operation or any user’s enjoyment of the Site, including by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code, making unsolicited offers or advertisements to other users, or attempting to collect personal information about users or third parties without their consent;

  • (f) Access, monitor or copy any content or information of the Site using any robot, spider, scraper, or other automated means or any manual process for any purpose without our express written permission;

  • (g) Perform any fraudulent activity, including impersonating any person or entity, claiming false affiliations, accessing the accounts of other users without permission, or falsifying your identity or any information about you, including age or date of birth; or

  • (h) Sell or otherwise transfer the access to our Site and Services.

4. Third-Party Content

The Site may contain links to third-party websites and services. We provide such links as a convenience and do not control or endorse these websites and services. As set forth in our Privacy Policy, you acknowledge and agree that we have not reviewed the content, advertising, products, services, or other materials that appear on such third-party websites or services, and are not responsible for the legality, accuracy, or appropriateness of any such content, and shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of any such third-party websites or services.

5. Intellectual Property

All right, title and interest in and to: (A) the Site and our Services; (B) all registered and unregistered trademarks, service marks, and logos; (C) all trade secrets, proprietary information, our confidential information, and know-how; (D) all registered and unregistered copyrights including, but not limited to, any text, video, audio, forms, images, displays, and software; (E) all other intellectual property, proprietary rights, or other rights related to tangible or intangible property which are used, developed, comprising, embodied in, or practiced in connection with any of our Services are owned by SEO and you agree to make no claim of interest in or ownership of any such rights. You acknowledge and agree that no title to any SEO intellectual property rights are transferred to you, and that you do not obtain any rights, express or implied, in any of our Services, other than the rights expressly granted in this Agreement.

Our name, our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SEO or our affiliates or licensors. You must not use such marks without our prior written permission.

The Site and its entire contents and features (including all information, software, text, images, video, audio, and the design), and materials relating to our Services, are owned by SEO, our licensors, or other providers of such material and are protected by applicable United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. No materials from the Site (or related to our Services) may be copied, reproduced, republished, uploaded, posted, publicly displayed or performed, downloaded, transmitted, or distributed in any way without our express permission, except as may be required for you to access and view the Site and access our Services.

You may not access or use the Site, or use materials related to our Services, for any commercial purposes not intended, modify copies of any materials from the Site or relating to the Services, or delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site or our Services. Any use of the Site and our Services in a manner not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws. We intend to vigorously enforce our rights, including our intellectual property rights. You acknowledge and agree that you relinquish all ownership rights in any ideas or suggestions that you submit to us through the Services.

6. Reliance on Information Posted

The information presented on our Site or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such information by you or any other visitor to our Site or who accesses the Services, or by anyone who may be informed of any of the contents of our Site or Services-related materials.

7. Geographic Restrictions

Our Services are intended primarily for use by persons located in the United States. We make no claims that the Site or any of its content is accessible or appropriate outside of the United States. Access to our Site and the Services may not be legal by certain persons or in certain countries. If you access the Site and Services from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

8. Modification of the Terms

We reserve the right at any time to modify these Terms and to impose new or additional terms or conditions on your use of the Services. Such modifications and additional terms and conditions will be effective immediately upon notice and will be reflected in the “Last Updated” date at the end of these Terms. We will make reasonable efforts to notify you of any material changes to the Terms, including by posting a notice to our website or by sending an email to any address you may have provided to us. Your continued use of the Services following notice will be deemed acceptance of any modifications to the Terms.

9. Disclaimers of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. Although we seek to maintain safe, secure, accurate, and well-functioning services, we cannot guarantee the continuous operation of or access to our Services, and there may at times be inadvertent technical or factual errors or inaccuracies. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. We specifically (but without limitation) disclaim (i) any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement; and (ii) any warranties arising out of course-of-dealing, usage, or trade. You assume all risk for any damages that may result from your use of or access to our Services. We do not guarantee the accuracy of, and disclaim all liability for, any errors or other inaccuracies in the information, content, recommendations, and materials made available through our Services.

10. Limitation of Liability

IN NO EVENT WILL WE, OUR AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING OUR SITE, ANY WEBSITES LINKED TO THE SITE, ANY CONTENT ON THE SITE OR RELATING TO THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify and hold harmless us, our affiliates, licensors and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to (i) your use of our Services and your actions in connection with our Services, or (ii) your violation of these Terms or your violation of any rights of a third party.

12. Termination

We reserve the right to terminate your access to or use of the Services, the Site, or your account for any reason and without advance notice. If we do so, it’s important to understand that you don’t have a contractual or legal right to continue to use our Services or Site or your account.

You may terminate your account with us or opt out of any participation in our Services, at any time, at your sole discretion by emailing your name and email address to info@seo-usa.org.

If you violate these Terms, your permission to use our Services will automatically terminate. After your account is terminated, information and content previously provided by you will no longer be accessible through your account, but we may continue to store such information and content, and it may also be stored by third parties to whom it has been transferred through your use of the Services.

13. Governing Law and Dispute Resolution

All matters relating to the Services and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule.

Any controversy or claim arising out of or relating to these Terms, or the breach thereof, or in any way related to our Services shall be determined by Small Claims Court in New York, New York. If any claim or dispute is not within the jurisdiction of Small Claims Court or not permitted in Small Claims Court, it may be commenced in another state or federal court of competent jurisdiction located in the City of New York, in the State of New York. You agree to submit to the personal jurisdiction of the courts located within such jurisdiction for the purpose of litigating all such claims or disputes.

You agree to waive the right to challenge the jurisdiction of such court on grounds of lack of personal jurisdiction or forum non conveniens, or to otherwise seek a change of venue. You agree to waive the right to trial by jury in any action that takes place relating to or arising under the Terms or the Services. You also agree to waive the right to file a class action claim relating to or arising under these Terms or the Services.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and SEO – Sponsors for Educational Opportunity, Inc. with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Services.

15. Waiver and Severability

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. General Provisions

  • No Waiver. The failure to require performance of any provision shall not affect our right to require performance at any time thereafter, nor shall a waiver of any breach or default of the Terms constitute a waiver of any subsequent breach or default or a waiver of the provision itself.

  • Paragraph Headers. Use of paragraph headers in the Terms is for convenience only and shall not have any impact on the interpretation of particular provisions.

  • Severability. In the event that any part of the Terms is held to be invalid or unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remaining parts will remain in full force and effect.

17. Mobile Terms of Use

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Any customer information that was captured (name, email, address, etc.) will be used by SEO for mobile communication only when the customer has affirmatively opted-in and consented to the contact.
